Terms of service

Flexciton provides solutions designed to optimize production scheduling and planning for wafer fabrication facilities. Our Services are tailored to each client and provided based on specific contracts negotiated individually. Accordingly, the terms and conditions applicable to any Services you receive from Flexciton will be detailed in the specific contract or agreement you have with us, which shall take precedence over these general Terms.

Client-Specific Terms

All Services provided by Flexciton are governed by the specific terms, conditions, and obligations outlined in the contract or agreement executed between Flexciton and the respective client. In the event of any conflict between these Terms and the client-specific contract, the terms of the client-specific contract will prevail.

Intellectual Property

• Ownership: Flexciton retains all rights, title, and interest in and to the Services, including all related intellectual property rights. No rights are granted to you other than those expressly set forth in these Terms or the applicable client contract.
• Client IP: Any intellectual property developed specifically for a client as part of our Services will be owned by Flexciton unless otherwise in the individual client contract.‍
• Restrictions: You may not reproduce, distribute, modify, or create derivative works based on our Services or any part thereof without our express written consent

Confidentiality

• Confidential Information: Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with the Services. This includes, but is not limited to, business strategies, technical data, client information, and other proprietary information.
• Obligations: Each party agrees not to disclose any confidential information to third parties without the prior written consent of the other party, except as required by law.

Non-Disparagement

You agree not to make any statements, whether orally or in writing, that could reasonably be construed as damaging or defamatory to Flexciton’s reputation, products, or business practices. This obligation does not restrict your right to express opinions or make statements required by law.

Governing Law

These Terms and any disputes arising out of or related to them are governed by the laws of England and Wales, without regard to its conflict of law principles.
